Membership & Distance-Sales Agreement

This agreement is formed electronically between the medsitebuilder.com platform (the "Platform") and the registering user (the "User") upon acceptance. The User acknowledges using the service for professional/business purposes.

1. Subject and Nature of the Service

The Platform provides template selection, profile/clinic information, service and blog management, media uploads, SEO fields and publishing on a subdomain (custom domain on eligible plans).

The service is digital and is activated immediately after payment confirmation; there is no physical delivery.

2. Plans and Fees

Current plans, features and limits are published on the pricing page, which forms an annex to this agreement. Billing is yearly: a first-year setup fee (covering setup plus the first year of hosting, maintenance and updates), followed by a yearly hosting/maintenance renewal fee.

Published prices exclude VAT/taxes, which apply as required by law. Payments within Turkey are charged in Turkish Lira (₺) via iyzico (up to 3 card installments may be offered); international payments are charged in US Dollars ($) via Paddle as a single charge. Invoices/receipts are delivered electronically.

3. Subscription, Renewal and Non-renewal

The subscription period is 1 year (365 days). Turkey (iyzico) subscriptions are single purchases with no auto-renewal; you continue by paying the yearly renewal fee at period end. International (Paddle) subscriptions auto-renew at period end unless cancelled.

Email reminders are sent 30, 15, 7, 3 and 1 days before expiry. If no payment is made by the end date, a 7-day grace period starts (the site stays live); paying within it adds the new period from the existing end date.

After the grace period the account is downgraded to the free plan and the site is taken offline; paid features and any custom domain are switched off. Content is not deleted — it remains stored, and the site goes live again upon re-subscription.

4. Right of Withdrawal

The service is a digital service performed immediately. As performance starts with the User's explicit consent given at purchase, there is no right of withdrawal. No refunds are made for partial periods (see the Cancellation & Refund Policy).

5. User Obligations

The User undertakes to provide accurate information, keep the account secure, and ensure published content complies with the law, healthcare-advertising rules and the Acceptable Use Policy.

Patient testimonials and before/after images are off by default; enabling them is entirely the User's responsibility.

6. Content and Intellectual Property

The User retains ownership of their content and grants the Platform the hosting/display licence needed to provide the service. The Platform software, templates and brand belong to the Platform.

7. Personal Data

The Privacy Policy applies to account data; the Data Processing Agreement (DPA) applies to the User's site-visitor data.

8. Disclaimer and Limitation of Liability

The service is provided "as is"; no guarantee is given of uninterrupted or error-free operation, search rankings, or patient/appointment numbers.

The Platform's total liability is limited to the fees paid in the 12 months preceding the claim; no liability is accepted for indirect damages.

9. Suspension and Termination

The service may be suspended or terminated for breach, payment default or unlawful use. The User may close the account at any time; an export is offered and content is deleted after a recovery window (financial records are kept for 10 years).

10. Changes

The Platform may update the agreement and prices; material changes are announced reasonably in advance and price changes apply from the next period. Rights already purchased for the current period are never reduced.

11. Governing Law and Jurisdiction

This agreement is governed by Turkish law; the Courts and Enforcement Offices of Kayseri have jurisdiction. Consumers retain their rights before Consumer Arbitration Committees and Consumer Courts.

For international payments, the payment/tax/invoicing relationship is additionally subject to Paddle's terms.

12. Pre-contractual Information and Acceptance

The User confirms having been informed before purchase of the service's essential characteristics, price, payment method, performance and the withdrawal-right exception, and accepts this agreement and its annexes (Privacy Policy, Cancellation & Refund Policy, Cookie Policy, Data Processing Agreement, Acceptable Use Policy) electronically.
